J.J. Harwayne is a Partner in the Not-for-Profit and Religious Organizations practice group. She represents a wide range of tax-exempt organizations, including:

  • Private foundations and operating foundations

  • Public charities and supporting organizations

  • “Friends of” organizations and donor advised funds

  • Social welfare organizations and trade associations

J.J. provides counsel on a broad spectrum of legal matters affecting nonprofit organizations, including:

  • Private foundation excise taxes

  • Unrelated business income tax (UBIT)

  • Private benefit and inurement issues

  • Intermediate sanctions

  • Lobbying and political activity regulations

She has extensive experience with New York not-for-profit corporation law, including regulatory matters involving the Attorney General’s Charities Bureau.

Practice Focus

As principal outside counsel to many clients, J.J.:

  • Reviews and drafts contracts (routine and complex)

  • Advises on legal issues involving employment, real estate, IP, and litigation

  • Counsels on corporate governance and formation of new organizations

  • Handles complex transactions: joint ventures, mergers, spin-offs, asset sales, and conversions

  • Advises on charitable solicitation and fundraising compliance across states
